Ces conditions permettent à une agence immobilière d'utiliser Cadran contre un abonnement mensuel par agent. Elles laissent l'agence maîtresse de ses données et de ses messages aux clients, et confient à Cadran le bon fonctionnement du logiciel.

These terms let an estate agency use Cadran for a monthly fee per agent. They put the agency in charge of its data and its client messages, and Cadran in charge of running the software safely.

  1. Le service. Cadran est un logiciel en ligne pour agences immobilières : contacts, biens, recherches acquéreurs, visites, affaires, suivi de gestion locative, pilotage d'équipe, assistant qui propose des actions, et connexions facultatives (WhatsApp Business, e-mail, signature électronique, portails). Les fonctions marquées « bêta » peuvent évoluer.
  2. Comptes. Le dirigeant invite son équipe et choisit les rôles. Chacun garde son mot de passe pour lui. L'agence prévient Cadran sans délai en cas d'usage suspect d'un compte.
  3. Responsabilités de l'agence. Elle dispose d'une base légale pour les données qu'elle enregistre et en informe ses clients. Elle recueille leur accord avant de leur écrire sur WhatsApp ou par e-mail et respecte les règles de WhatsApp. Ses agents vérifient chaque proposition avant qu'elle n'atteigne un client ; Cadran n'envoie jamais rien sur un prix de lui-même. Elle tient les registres que la loi lui impose ; Cadran est un outil, pas son archiviste de dernier recours. [Avocat : obligations anti-blanchiment.]
  4. Canaux de chaque agent. Seul l'agent connecte son numéro WhatsApp ou sa boîte e-mail. Ses conversations brutes ne sont visibles que par lui ; l'agence voit ce que Cadran en extrait, jamais le texte. Les clients appartiennent à l'agence ; les conversations, à l'agent.
  5. Argent. Cadran ne détient, n'encaisse ni ne comptabilise jamais les fonds des propriétaires ou des clients. Les écrans de loyers et d'honoraires enregistrent ce que l'agence indique, pour le suivi seulement.
  6. Intelligence artificielle. Les propositions peuvent être fausses ; l'agence reste responsable de ce qu'elle envoie, publie ou signe. L'IA est désactivée tant que le dirigeant ne l'active pas.
  7. Interdit. Envois massifs non sollicités, aspiration de sites ou de réseaux sociaux, stockage de données détenues sans droit, tentatives d'intrusion ou de surcharge du service.
  8. Prix et paiement. [… € HT par agent et par mois], facturé [mensuellement d'avance], payable à [30] jours. Tout changement de prix est annoncé [60] jours à l'avance ; l'agence peut alors partir.
  9. Disponibilité et support. Objectif de [99,5 %] de disponibilité mensuelle hors maintenance annoncée ; réponse aux demandes de support sous [un jour ouvré].
  10. Durée et fin. [Mensuelle, reconduite tacitement] ; chaque partie peut y mettre fin avec un préavis d'[un mois]. À la fin, l'agence dispose de 30 jours pour exporter ses données, qui sont ensuite supprimées.
  11. Propriété. Les données sont à l'agence. Le logiciel est à Cadran, qui en concède l'usage pendant le contrat. Cadran repose en partie sur des logiciels libres sous licence MIT.
  12. Responsabilité. Aucune partie ne répond des dommages indirects. La responsabilité totale de Cadran est plafonnée chaque année à [la somme payée sur les 12 derniers mois], sauf manquement fautif aux obligations de protection des données, dommage corporel ou fraude.
  13. Confidentialité. Chaque partie garde confidentielles les informations non publiques de l'autre, pendant le contrat et [3] ans après.
  14. Modifications. Annoncées [30] jours à l'avance par e-mail ; si elles réduisent les droits de l'agence, elle peut partir sans frais.
  15. Droit applicable. [Droit français, tribunaux de Nice] [ou droit monégasque pour les agences de Monaco : à trancher par l'avocat].
  1. The service. Cadran is online software for estate agencies: contacts, properties, buyer searches, viewings, deals, rentals follow-up, a team dashboard, an assistant that suggests actions, and optional connections (WhatsApp Business, email, e-signature, property portals). Features marked "beta" may change.
  2. Accounts. The agency's owner invites its staff and decides their roles. Each person keeps their password to themselves. The agency tells Cadran at once if it suspects an account is misused.
  3. The agency's responsibilities. It has a lawful basis for the client data it puts in Cadran and informs its clients. It has its clients' consent before messaging them on WhatsApp or by email, and follows WhatsApp's Business and Commerce policies. Its agents check every suggestion before anything reaches a client; Cadran never sends anything about price automatically. It keeps the professional records the law asks of it; Cadran is a tool, not its record-keeper of last resort. [Lawyer: AML duties.]
  4. Each agent's own channels. Only an agent can connect their own WhatsApp number or inbox. Their raw conversations are visible to them alone; the agency sees what Cadran extracts from them, never the text. The client relationship belongs to the agency; the conversations belong to the agent.
  5. Money. Cadran never holds, collects or accounts for landlords' or clients' funds. Rent and commission screens record what the agency tells it, for follow-up only.
  6. AI. Suggestions can be wrong. The agency remains responsible for what it sends, publishes or signs. AI features are off until the owner turns them on.
  7. Not allowed. Using Cadran to send unsolicited bulk messages, to scrape websites or social networks, to store data the agency has no right to hold, or to probe or overload the service.
  8. Price and payment. [€… per agent per month, excluding VAT], invoiced [monthly in advance]; [30] days to pay. Cadran may change prices with [60] days' notice; the agency may then leave.
  9. Availability and support. Cadran aims for [99.5%] monthly availability outside announced maintenance, and answers support emails within [one working day].
  10. Length and ending. [Monthly, renewing automatically]; either side may end it with [one month's] notice. On ending, the agency has 30 days to export its data, after which it is deleted.
  11. Ownership. The agency owns its data. Cadran owns the software and grants the agency a right to use it for the contract's length. Cadran is built in part on open-source software under the MIT licence.
  12. Liability. Neither side is liable for indirect losses. Cadran's total liability per year is capped at [the fees paid in the previous 12 months], except for breaches of data protection duties caused by its fault, death or injury, or fraud.
  13. Confidentiality. Each side keeps the other's non-public information confidential during the contract and [3] years after.
  14. Changes to these terms. Cadran gives [30] days' notice by email; a change that reduces the agency's rights lets it leave without cost.
  15. Law and courts. [French law, courts of Nice] [or Monaco law and courts for Monegasque agencies: lawyer to choose].
